1. Scope and Validity of Conditions

1.1 These general terms and conditions of Saunum Saunas OÜ (hereinafter referred to as the Seller) for the online store (hereinafter referred to as the Conditions) apply to all individuals (hereinafter referred to as the Buyer) using the www.saunum.com online store (hereinafter referred to as the online store), ordering goods and services (hereinafter referred to as the Goods) from the online store, including entering into a sale agreement (hereinafter referred to as the Sales Agreement) to purchase goods from the online store.

1.2 By accepting these Conditions, the Buyer confirms that they have read and agree to the Sales Agreement and will comply with it.

1.3 The Conditions are in Estonian and in English as per language opted by the Buyer upon using the online store. Conditions applicable at the time of entering into the Sales Agreement are to be downloaded by the Buyer as these may not be accessible later, for example in case of later amendments done to the Conditions.

2. Purchasing Goods and Placing Orders in the Online Store

2.1 Main characteristics and price of the Goods as well as delivery costs are available at the online store. The price and availability of the Goods may change without notice. If the Buyer places an order before the price of the Goods changes, the price applicable at the time of the order will apply.

2.2 The Seller has the right to withdraw from the Sales Agreement concluded through the online store and not deliver the ordered Goods or provide the service in the following cases: the Goods are out of stock; the Goods have the status “Ordering” in the online store and are out of stock; the price or characteristics of the Goods have been incorrectly displayed in the online store due to a system error.

2.3 Shopping cart and order placement

The quantity of Goods in the shopping cart can be changed. It is possible to add other products and services compatible with the selected Goods to the shopping cart. To order the Goods, the Buyer must choose a suitable delivery method. Specific details about the delivery method will be requested on the order placement page. The Buyer can familiarize themselves with the online store’s purchase conditions and, upon agreeing to them, confirm it by marking (checking) the conditions.

To confirm the order, the Buyer must press the “Place Order and Pay” button, and the Buyer will be directed to the payment method page, where they must choose a suitable payment method. Next, the final payment method selection necessary to confirm the order and make the purchase will appear. The Buyer can choose the payment method and make the payment for their purchase. When placing an order, the Buyer must be attentive because the fast and trouble-free delivery of the ordered products depends on it.

The Sales Agreement is considered concluded from the moment the payment amount due under the Sales Agreement is received by Saunum Saunas OÜ or from the moment of signing the installment agreement. Unpaid order confirmations will not be fulfilled by the Seller.

2.4 Payment for Goods

Payment for Goods can be made through internet banking (Swedbank, SEB, Luminor, LHV Bank links).

In cooperation with our partners, you can also use the following financing options:

ESTO AS (available in Estonia, registered office: Laeva 2, Tallinn 10111, Estonia). ESTO’s 3-part payment or 12-36 month ESTO installment solution offers customers a flexible payment method for making purchases. There are no additional costs for the 3-part payment option. Orders financed through ESTO are confirmed only with a positive credit rating. For this purpose, we will forward your data to ESTO for address and credit checks. We can only offer you payment methods based on the results of the relevant checks. Your personal data will be processed in accordance with data protection laws and ESTO’s data processing rules. After making the payment, the online store will send the Buyer an order confirmation. An invoice for the order will be sent to the email address after sending the Goods.

All personal data obtained during the visit to the Saunum online store and the completion of purchases are treated as confidential information. An encrypted data channel with banks ensures the security of the Buyer’s personal data and bank details. Saunum Saunas OÜ representatives do not have access to encrypted data.

2.5 Delivery and Handover of Products

The Goods will be delivered to the delivery address provided by the Buyer in the order. Information about the delivery will be provided to the Buyer via the contact information specified when placing the order. The transport of the ordered Goods will be carried out at the time as notified and in accordance with the transport conditions valid at the time of order placement.

When placing an order, the Buyer should ensure the accuracy of the contact information provided to avoid delays and misunderstandings in the delivery of the Goods. Saunum Saunas OÜ and the courier company are not responsible for delays in the delivery of the Goods or misunderstandings arising from inaccuracies or incorrectness of the data provided by the Buyer when placing the order.

The Goods will only be handed over to the Buyer based on the delivery note. Before signing the delivery note, the Buyer should carefully inspect the packaging of the Goods, and in case of damage to the packaging, make a corresponding note on the delivery note. In the event of damaged packaging, the Buyer has the option to refuse to accept the shipment and/or immediately inform Saunum customer service at info@saunum.com.

The Goods will be handed over to third party under Power-of-Attorney (including in case the Buyer has appointed third party as recipient of Goods). The Seller may authorize third parties for delivery of the Goods (including usage of courier service).

If the Buyer does not pick up the Goods within 14 (fourteen) days from the agreed date of receipt of the Goods, it is considered that the Buyer has breached the Sales Agreement and does not want the Goods. The Seller has the right to unilaterally withdraw from the Sales Agreement and demand compensation for damages (e.g., storage costs) and offset the damages incurred by the Seller with the amounts prepaid by the Buyer.

2.6 Right of Withdrawal

2.6.1 The Buyer has the right to withdraw from the Sales Agreement concluded through the online store within 14 days without giving any reason. Provided the Buyer has concluded consumer credit agreement for payment of the Goods with ESTO AS, withdrawal from the Sales Agreement also constitutes withdrawal from the above credit agreement.

2.6.2 The withdrawal period ends 14 days after the day on which the Buyer or a third party designated by the Buyer, who is not the carrier, has received the Goods.

2.6.3 To exercise the right of withdrawal, the Buyer must inform the Seller of their decision to withdraw from the Sales Agreement in writing, which must be submitted to the Seller’s representative or sent by email, include the time of reception of the Goods, name, aadress, signature and date of the Buyer Standard format appended on the last page of the Conditions may be used for notification of withdrawal.

2.6.4 Exclusion of the Right of Withdrawal

The right of withdrawal does not apply in cases where:

a. Goods delivered in sealed packaging have been opened after delivery and are not suitable for return for reasons of health protection or hygiene.

c. The subject of the Sales Agreement is a gift card and the unique code on it has already been used.

2.6.5 Withdrawal from the Sales Agreement

a. When withdrawing from the agreement, Saunum Saunas OÜ will refund the Buyer all payments received under the Sales Agreement, including delivery costs (except for additional costs resulting from the Buyer’s choice of a delivery method other than the cheapest standard delivery offered by Saunum Saunas OÜ) without undue delay, but no later than 14 days from the day the Seller receives notice of the Buyer’s decision to withdraw from the Sales Agreement and has received the returned Goods.

b. Saunum Saunas OÜ will make the refund using the same payment method the Buyer used for the initial transaction, unless the Buyer has expressly agreed otherwise. The Buyer will not incur any fees or other costs as a result of such refund save for the costs of returning the Goods which will be borne by the Buyer in case the Sale Agreement is withdrawn by the Buyer.

c. To return the Goods, the Buyer must send or deliver them to Saunum Saunas OÜ at the address Suur-Paala 19, 11415 TALLINN, Estonia without undue delay, but no later than 14 days from the day the Buyer notified Saunum Saunas OÜ of their decision to withdraw from the Sales Agreement. The deadline is met if the Buyer sends the Goods back before the period of 14 days has expired.

d. Saunum Saunas OÜ may withhold the refund until the Goods have been returned by the Buyer or until the Buyer has provided proof of having returned the Goods, whichever is the earlier.

e. If the Buyer wishes to avoid compensation for the decrease in the value of the Goods, the Goods must be used and tried as possible in regular store and the Goods must be returned in their original packaging and in their original completeness (include all items in the product packaging and gifts related to the Sales Agreement). If the Buyer uses the Goods more than is necessary to ascertain the nature and functioning of the Goods or does not return the Goods in their original packaging and initial completeness, the Buyer shall be liable for the decrease in the value of the Goods.

f. The direct cost of returning the Goods shall be borne by the Buyer.

g. If the Buyer has used or tried the returned Goods in any other way than would normally be allowed in the store or the Buyer has used the Goods more than is necessary to ascertain their nature, characteristics and functioning, the Buyer shall be liable for the decrease in the value of the Goods and the Seller shall have the right to deduct this amount from the purchase price to be refunded. If the Buyer does not agree with the decrease in the value indicated by the Seller, he has the right to turn to an independent expert to determine this. The costs of the independent expert shall be borne by the party whose position was not proved to be justified. If it proves impossible to find out such a party, the costs related to the expert assessment shall be divided between the Buyer and the Seller in half.

2.7 Cancellation of Placed Orders

The Buyer has the right to cancel his/her order after paying for the Goods, but before the delivery of the Goods without additional costs. In order to cancel the order, the Buyer must send a corresponding notice with the number of the Sales Agreement to the e-mail address info@saunum.com. A confirmation of the cancellation of the Sales Agreement will be sent to the Buyer.

2.8 Environmentally hazardous consumables such as batteries and accumulators necessary for use in the equipment sold by the Seller are accepted free of charge at all Saunum dealerships. Bulky electronic waste should be taken to a suitable waste collection station. The locations of the waste stations can be found here.

3. Principles of data protection and processing

3.1 The Seller secures the Buyer’s data incl. protection and use of personal data in accordance with the terms and conditions of the privacy policy. The Buyer confirms that he/she has read the terms and conditions of the Privacy Policy. Based on the applicable legislation and the terms and conditions of the privacy policy, the Seller, without the consent of the Buyer, has the right to process data (including personal data) to the extent necessary for use in the online store, for the performance of the Sales Agreement or for ensuring the performance of the Sales Agreement. Among other things, based on the above, the Seller has the right to process data (includings personal data) without separate consent as follows: to send the Buyer notices related to the use of the services of the online store, incl. messages, the sending of which is in the interests of the safety of the users of the online store; to store the data of the orders of the Buyer who has logged in to the online store in order to better service the Buyers and to certify transactions, including for those orders that the Buyer did not complete during the session within a reasonable period of time.

3.2 If the Buyer has given consent to the use of the data for marketing purposes when entering into a Sales Agreement or otherwise by making a declaration of intent confirming the Buyer’s consent (e.g. in self-service), the Seller shall use this data under the fixed conditions and for the purpose of the Privacy Policy, incl. also to send the Buyer personal direct marketing, campaign and discount offers of services and goods electronically (e.g. by e-mail or SMS).

3.3 The Buyer has the right to withdraw the consent given for the marketing use of the data at any time by sending the Seller a corresponding e-mail or refusing to receive further direct marketing offers following the instructions in the direct marketing offer sent to his e-mail address.

4. Liability and settlement of disputes

4.1 In case of non-conforming Goods (the Goods are defective), the Buyer has the right to submit complaints to the Seller within 2 (two) years from the date of delivery of the Goods. The claim must be submitted immediately, but not later than within 2 (two) months from the discovery of the defect in the Goods. Upon discovering the defect, the Buyer shall take reasonable measures for the preservation and protection of the Goods, including not to use the defective Goods, if the use of the Goods further deteriorates the condition of the Goods.

4.2 In case of non-compliance of the Goods with the terms and conditions of the contract, the Buyer can rely on the legal remedies provided by law, including to demand the repair or replacement of the Goods or to withdraw from the Sales Agreement and return the non-conforming Goods.

4.3 Saunum Saunas OÜ is not responsible for: the Buyer’s fault for the deterioration / damage of the Goods, for defects that have arisen as a result of the irregular use of the Goods, for normal physical wear and tear of the Goods in case of normal use.

4.4 If the Seller or the manufacturer has given the Goods a warranty against defects, the warranty conditions shall be given to the Buyer in writing together with the Goods and/or made available electronically in the online store.

4.5 In order to solve later problems, the Buyer must keep purchase documents (invoice, contract, etc.) that prove that the Goods have been purchased from the Seller’s online store. Without a document certifying the sale, the Seller/service provider may leave the problem unresolved.

4.6 Complaints related to the Goods purchased from the online store can be submitted to the e-mail address: info@saunum.com.

4.7 When submitting a claim, defective Goods must also be submitted. The Seller and the Buyer shall enter into an agreement on the maintenance and repair of the device, if in order to find out the nature and cause of the defect in the Goods, it is necessary to send the Goods to diagnostics or an expert assessment.

4.8 In resolving the defects of the Goods, Saunum Saunas OÜ shall be guided by the terms and conditions for submitting complaints, which are an integral part of the Sales Agreement and these purchase terms and conditions and have been approved by the Buyer before the conclusion of the Sales Agreement.

4.9 The Seller shall ensure that the Goods sold in the online store comply with the standards in force in the European Union. The circumstances outlined in these standards shall not be considered as defects of the Goods.

4.11. The Seller and the Buyer are liable to each other for any damage they cause to the other party by violating these Conditions in the cases and extent provided by the legislation in force in the Republic of Estonia.

4.12 The Seller is not responsible for the Buyer’s loss of profit or non-material damage.

4.13 The Seller is released from liability to the Buyer for the performance of the Sales Agreement if the non-performance of the Sales Agreement or the delay in the performance of the Sales Agreement is due to circumstances beyond the control of the Seller, the occurrence of which the Seller could not have foreseen or the occurrence of which the Seller could not have influenced. Such circumstances include, for example, strikes, fires, accidents in production, or energy supply disruptions without the fault of the Seller. The Seller shall inform the Buyer of the occurrence of such circumstances as soon as possible.

4.14 The Buyer has the right to turn to the competent supervisory authority, which is the Consumer Protection and Technical Regulatory Authority at Endla 10A, 10112 Tallinn, e-mail: info@ttja.ee. In order to resolve the dispute, the Buyer may turn, provided the Buyer is a consumer, to the Consumer Disputes Committee. The Consumer Disputes Committee is competent to resolve disputes arising from the contract concluded between the Buyer and the Seller, which the parties were unable to resolve by agreement. 5. Other conditions

5.1 Product images are for illustrative purposes only.

5.2 The prices and availability of Goods are subject to change without notice. In this case, Saunum Saunas OÜ reserves the right to cancel the sale and return the money to the Buyer’s bank account within a reasonably necessary time.

5.3 Saunum Saunas OÜ reserves the right to cancel the sale if any of the following problems have happened to the Goods: human error in entering the price or a technical error in the system (for example, if a heater costing 2000 EUR is sold for 200 EUR, this is an obvious error. Accordingly, we assume that the Buyer should understand that this is an error and the product is not subject to sale at such a price). The technical means of detecting the described errors are computerised and verifiable on the basis of log data.

5.4 Product information is regularly checked and improved. The data may have been updated after the Buyer’s last visit. Due to the insufficiency of manufacturers’ data cards, there may be inaccuracies in the product information of the Saunum online store. In this case, Saunum Saunas OÜ does not assume any responsibility for the correctness of the product data. However, we recommend that the Buyer check the accuracy of the product information before making a purchase, if possible, by calling the Saunum helpline +372 5197 5074.

5.5 The Seller has the right to apply a quantity limit on buyers in the framework of the sales campaigns of the online store organized by it, taking into account the stock of specific goods, the number of orders and other factors.

6. Final Provisions

6.1 These Conditions and the Sales Agreement are governed by the laws of the Republic of Estonia.

6.2 Any disputes arising from the Sales Agreement or these Conditions shall be resolved primarily through negotiations. If an agreement cannot be reached through negotiations, the dispute shall be settled in accordance with the legislation in force in the Republic of Estonia.

6.3 If any provision of these Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

6.4 The Seller reserves the right to amend these Conditions at any time. The amended Conditions shall enter into force upon their publication on the Seller’s website. Amendments shall not have retroactive effect.
